TERMS OF SERVICE

1. Agreement to Terms
By engaging eCommet's services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services. These Terms apply to all clients, visitors, and users who access or use our services.
2. About eCommet
Torudan LLC, operating as eCommet ("eCommet," "we," "us," or "our") is a digital marketing and creator commerce agency headquartered in Atlanta, Georgia, United States. We specialize in TikTok Shop strategy, affiliate program management, and performance reporting for brands and sellers.
3. Services
eCommet provides the following services, subject to individual client agreements:
TikTok Shop strategy and management
Affiliate and creator commerce program management
Performance reporting and analytics
Amazon listing optimization
Social media content strategy
API-based data integrations on behalf of clients
The specific scope of services for each client is defined in a separate Statement of Work or Service Agreement.
4. Client Responsibilities
By engaging our services, clients agree to:
Provide accurate business and account information during onboarding
Grant necessary platform authorizations required for eCommet to perform services
Comply with all applicable platform terms of service, including TikTok Shop, Amazon, and other third-party platforms
Notify eCommet promptly of any changes to account access or business information
5. Data Access and Authorization
As part of our services, eCommet may request authorization to access third-party platform data on your behalf, including but not limited to TikTok Shop, Impact.com, and Shopmy. By granting such authorization, you confirm that:
You have the legal right to grant such access
You authorize eCommet to access, process, and use the data solely to provide agreed services
You may revoke authorization at any time by notifying us in writing
6. Confidentiality
eCommet treats all client data and business information as confidential. We will not disclose client information to third parties except as necessary to provide our services or as required by law. Clients agree to keep eCommet's proprietary methodologies, frameworks, and reporting tools confidential.
7. Intellectual Property
All tools, frameworks, templates, and reporting systems developed by eCommet remain the intellectual property of Torudan LLC. Deliverables created specifically for a client become the client's property upon full payment of fees.
8. Payment Terms
Payment terms are defined in individual client agreements. eCommet reserves the right to suspend services for accounts with outstanding balances exceeding 30 days past due.
9. Limitation of Liability
To the maximum extent permitted by law, eCommet shall not be liable for:
Indirect, incidental, or consequential damages
Loss of revenue or profits resulting from third-party platform changes, outages, or policy updates
Decisions made by clients based on our reporting or recommendations
Our total liability shall not exceed the fees paid by the client in the three months preceding the claim.
10. Termination
Either party may terminate services with 30 days written notice. Upon termination:
eCommet will deliver all client-owned assets and data within 30 days
All client data in eCommet's possession will be deleted within 30 days upon request
Outstanding fees for services rendered remain due
11. Governing Law
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Atlanta, Georgia.
12. Changes to These Terms
We may update these Terms periodically. Continued use of our services after changes constitutes acceptance of the updated Terms. We will notify active clients of material changes via email.
